END USER LICENSE AGREEMENT for Yuzu Moriyama Voicebank(s) and Character

 

Effective Date: 2024-03-23

 

 

By installing, copying, or using the Voice Library, you agree to be bound by the terms and conditions of this Agreement. If you do not agree to these terms and conditions, you should not use the Voice Library.

 

 

Section 1. Definitions

In this Agreement, the following terms have the following meanings:

  • "Voice Library" refers to the UTAU and RVC voice libraries and the character Yuzu Moriyama.

 

Section 2. License and Copyright

  1. Syntheticty grants you a non-exclusive, non-transferable, non-sublicensable, and revocable license to use the Voice Library, subject to the terms and conditions of this Agreement.

  2. You may use the Voice Library on the specified number of computers within your company, as stated in the licensing agreement.

 

Section 3. Additional License

If you wish to use the synthesized singing produced using the Voice Library in any of the following ways or purposes, please contact Syntheticity. Depending on the intended use, a separate additional license from Syntheticty may be required, which may involve license fee payments:

 

 

  3. ■ Use in Online Voice Service.
  4. ■ Use in Commercial Karaoke
  5. ■ Use in Commercial Entertainment Works
  6. ■ Use in Commercial Music

 

 

Section 4. Prohibited Uses

The following uses of the Voice Library and/or synthesized singing are prohibited under this Agreement, except for uses permitted by copyright laws or other applicable laws and regulations:

 

  • Publishing or distributing the synthesized singing with lyrics that violate public policy.
  • Publishing or distributing the synthesized singing that infringes on the publicity or personal rights of any third party, including the original singer of the Voice Library.

 

 

  • Publishing or distributing the synthesized singing using characters in violation of the law or character license.


You are solely responsible for your use of the Voice Library and any consequences arising from such use.

 

Limitation of Liability
Disclaimer: The Voice Library is provided "as is" without any warranties or representations, express or implied. We do not guarantee the accuracy, completeness, or reliability of the Voice Library or its compatibility with any specific device or system.


Indemnification:

You agree to indemnify, defend, and hold harmless Syntheticity and its affiliates, directors, employees, and agents from any claims, damages, losses, or expenses (including attorneys' fees) arising out of or related to your use of Yuzu Moriyama or any breach of these Terms and Conditions.

 

Termination
Termination by User: You may terminate this Agreement by discontinuing your use of the Voice Library.

  2. Miscellaneous

    Entire Agreement: This Agreement constitutes the entire agreement between you and Syntheticity regarding the subject matter hereof and supersedes any prior or contemporaneous understandings.

     

    Governing Law: This end user licence shall be governed by and construed in accordance with the laws of the united States, without regard to its conflict of laws provisions.

     

    Severability: If any provision of this Agreement is held to be invalid or unenforceable, the remaining provisions shall remain in full force and effect.

By using Yuzu Moriyama, you acknowledge that you have read, understood, and agreed to be bound by this end user license.
